The qualitative analisys of thr Polterovich - Henkin model, a mathematical formalization of the Shumpeterian concept of economical dynamics, was carried out.Three levels of technological development of an enterprise are considered taking into account depreciation. The global asymptotic stability of equilibrium is proved. The invariant sets were found.
